Cotton Babies™ Affiliate Terms & Conditions

Please read this document carefully. As a condition in your participation to the Cotton Babies™ affiliate program, each Affiliate is responsible for assuring that its employees, agents and contractors comply with these terms and conditions. Affiliate terms and conditions are subject to change.

DEFINITIONS
As used in these terms and conditions: (i) “We”, “us”, or “our” refers to Cotton Babies® and our website; (ii) “you” or “your” refers to the Affiliate; (iii) “our website” refers to the Cotton Babies™ properties located at www.Cotton Babies.com; (iv) “your website” refers to any websites that you will link to our website; (v) “Program” refers to the Cotton Babies™ Affiliate Program.

ENROLLMENT
Affiliates are only accepted within the United States. Some states may be prohibited. We review each application individually. Please include a full list of site domains with your application. An approval may be revoked at any time if an affiliate is found to be violating these terms and conditions.

WEBSITE RESTRICTIONS
Your website(s) may not be approved if it infringes on anyone's intellectual property, publicity, privacy or other rights, violate any law, rule or regulation; contains content that is threatening, harassing, defamatory, obscene, harmful to minors, or contains nudity, pornography or sexually explicit materials; intends to damage, intercept, steal, or otherwise use data in a manner that is unexpected or unknown to the user of that site; uses any type of technology designed to divert or redirect traffic potentially enabling the diversion of affiliate commissions from another website.

LINKING TO OUR WEBSITE
Upon acceptance into the Program, links will be made available to you through Cotton Babies™ or our affiliate provider. You will only use links that we provide.
All domains that use your affiliate link must be listed in your affiliate profile.
Your website will clearly be another company (you can't look like you're trying to be us).
You will not frame our website.
No cheating the system. This includes cookie stuffing, false or misleading links on your website, masking the referring url information (i.e. the page from where the click is originating), and using redirects to falsify or change the source of a click.

COMMISSION GENERATION
You are only eligible to earn commission on sales of qualifying products while you're an approved affiliate. Commission is calculated on the net price, less any coupon or customer discounts, of qualifying products. Commission may vary by affiliate and may change based on your status.

PAY PER CLICK GUIDELINES

PPC is expressly prohibited by all affiliates. To be clear, you may not bid on any of our trademarked terms (some of which are identified below), including any variations, alterations, or misspellings for search or content based campaigns on search engine or social media platform. You may not use our trademarked terms in combination with any other word (i.e. Cotton Babies™ Coupons).
You may not use our trademarked terms in your ad title, ad copy, display name or as the display url. You may not direct link to our website from any Pay Per Click ad or use redirects that yield the same result.  Affiliate links must be directed to an actual page on your website. We have a strict policy against PPC trademark bidding.  All commissions will be forfeited and future commission will be set to 0% without warning if you engage in PPC trademark bidding that uses our trademarked terms. 

Some examples of our Trademarked Terms: Cotton Babies™, bumGenius™, Flip™, Econobum™, Elemental Joy™, bum Flip'n Genius™, Elemental Genius™, Elemental™, Big™, Bigger™, Littles™, Love My Cloth Diapers™, Hemp Babies™, One Good Mom™, One Good Dad™, Every Good Mom™

COUPON GUIDELINES
You may ONLY advertise current, valid coupon codes. Orders placed using coupon codes that are not valid will not earn commission.

SUB-AFFILIATE NETWORKS
Promoting Cotton Babies(™) through a sub-affiliate network is not permitted.

DOMAIN NAMES
You may not use any of our trademarked terms as part of the domain or sub-domain for your website (i.e. CottonBabies.website.com or www.Cotton Babies-coupons.com)

ADVERTISING & PUBLICITY
Get our written permission before doing any print campaigns.
If you intend to promote our program via e-mail, you must adhere to the CAN-SPAM Act of 2003 (Public Law No. 108-187).
E-mail must be sent from you. You may not imply that it is coming from Cotton Babies(™).
E-mail must be submitted to us for approval prior to being sent.

SOCIAL MEDIA
Promotion on Facebook, Twitter, and other social media platforms is permitted following these general guidelines: You ARE allowed to promote offers to your own lists; more specifically, you’re welcome to use your affiliate links on your own Facebook, Twitter, etc. pages.

You may not post on Cotton Babies(™) owned pages or groups. You may not create social media accounts or pages using our trademarks. 

NON-DISPARAGEMENT
You agree, for the term of being an affiliate of Cotton Babies and for five (5) years after, not to disparage Cotton Babies, its officers, directors, employees, shareholders, and agents, in any manner likely to be harmful to its or their business, business reputation, or personal reputation.

OPERATIONS OUTSIDE UNITED STATES
If you are conducting business in or taking orders from persons in other countries, you will follow the laws of those countries. For example, you will comply with the European Union’s Privacy and Electronic Communications Directive if you are conducting business in or taking orders from persons in one or more of the European Union countries.

COMMISSION REVERSAL POLICY
Cotton Babies™ reserves the right to reverse commission due to:

1. order cancellations
2. duplicate tracking
3. returns
4. disputed charges
5. program violations
6. fraud

PROGRAM CHANGES
Within the boundaries of the law governing programs such as this within the relevant states, Cotton Babies may make changes to this program without advance notice to affiliates. These changes may include modifications to the way the program functions, commission structure, and/or termination of the program.

GOVERNING LAW AND OTHER FACTS
This program is a program of Cotton Babies, a Missouri corporation and is prohibited in states where it is disallowed.
Affiliates may not participate in this program if their state disallows affiliate programs.
An employee of Cotton Babies may not become an Affiliate.
Affiliates are not an employee of Cotton Babies and do not receive benefits designated to employees. 
Cotton Babies requires a current W9 on File for all Affiliates before paying out any Commission. Please check with our Accounting department to be sure that the proper paperwork is on file if you're not receiving your commissions.

FTC DISCLOSURE REQUIREMENTS
All content created by an affiliate shall clearly abide by the FTC's disclosure requirements.
